1. Introduction
These Terms of Service (“Terms”) govern your access to and use of the services provided through accessial.com (“Website”), operated by GSDS Connection, S.L. (“Accessial,” “we,” “us,” or “our”), a company incorporated under Spanish law.
By accessing the Website or purchasing any service, you (“Client,” “you,” or “your”) agree to be bound by these Terms. If you do not agree, you must not use our services.
These Terms apply to all services offered through Accessial, including but not limited to:
- Certified Talent Services — connecting businesses with verified accessibility (a11y) professionals for WCAG, EAA, ADA, and related compliance work.
- AI Workforce — configuration and delivery of customized AI agent teams built on open-source frameworks, including coordinator agents, specialized sub-agents, cloud infrastructure setup, and optional training and support.
2. Definitions
- AI Workforce: The service whereby Accessial configures and delivers a team of AI agents tailored to the Client’s business needs, deployed on third-party cloud infrastructure.
- Agent Environment: The complete technical setup delivered to the Client, including AI agent configurations, cloud hosting accounts, messaging integrations, and related credentials.
- Deliverables: Any output produced by the AI agents on the Client’s platforms, including but not limited to text, images, code, marketing materials, and social media content.
- Third-Party Services: External platforms and services used in the delivery of AI Workforce, including but not limited to Cloudflare, OpenRouter, OpenClaw, and Telegram.
- Setup Fee: The one-time payment for the configuration and delivery of an AI Workforce.
- Running Costs: Ongoing costs paid directly by the Client to third-party service providers (e.g., Cloudflare hosting fees, OpenRouter token usage).
3. Eligibility
You must be at least 18 years old and have the legal capacity to enter into binding contracts. If you are acting on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.
Our services are intended for business and professional use. Consumer protection regulations under Spanish law (Real Decreto Legislativo 1/2007) apply to Clients who qualify as consumers.
4. Service Description
4.1 Certified Talent Services
Accessial connects businesses with verified accessibility professionals. We act as an intermediary platform; the professionals are independent contractors, not employees of Accessial. We verify their certifications and qualifications but do not guarantee specific outcomes of their work.
4.2 AI Workforce Services
AI Workforce is a one-time setup service. Upon purchase, Accessial will:
- Provide the Client with an onboarding form to describe their business and requirements.
- Configure a custom AI Coordinator agent and specialized sub-agents tailored to the Client’s needs.
- Deploy the Agent Environment on the Client’s own third-party accounts (Cloudflare, OpenRouter, Telegram).
- Deliver the completed Agent Environment within 5 business days from receipt of the completed onboarding form.
- Provide full technical credentials and documentation for the Agent Environment.
Tier-specific inclusions:
- Starter: Agent Environment setup, documentation, and credential delivery.
- Growth: Everything in Starter, plus a 90-minute training session and 30 days of post-launch email support.
- Professional: Everything in Growth, plus 12 months of priority support, critical security updates, up to 2 agent reconfigurations, and quarterly health checks.
4.3 What AI Workforce Does NOT Include
- Ongoing AI model costs (tokens consumed via OpenRouter) — paid directly by the Client.
- Cloud hosting fees (Cloudflare Workers plan) — paid directly by the Client.
- Third-party platform subscriptions (Instagram, WordPress, Shopify, etc.).
- Custom software development beyond the scope of agent configuration.
- Guarantees regarding the quality, accuracy, or suitability of AI-generated content.
4.4 Right to Refuse Service
Accessial reserves the right to refuse or cancel any service if, upon reception and evaluation of the Client’s onboarding form or business information, we determine that the Client’s business activities:
- Violate applicable laws or regulations in any jurisdiction.
- Infringe upon the dignity, rights, or freedoms of any individual or collective.
- Promote discrimination, hatred, violence, or exploitation in any form.
- Are otherwise incompatible with Accessial’s values and ethical standards, at our sole discretion.
In such cases, Accessial will notify the Client of the cancellation and issue a full refund of the Setup Fee within 14 calendar days. This decision is final and does not require detailed justification beyond the categories listed above.
5. Orders and Payment
5.1 Placing an Order
Orders are placed through the Website via our WooCommerce-powered store. By completing a purchase, you make a binding offer to acquire the selected service.
5.2 Pricing
All prices are displayed in Euros (€) and include applicable taxes unless otherwise stated. We reserve the right to modify pricing at any time; however, price changes will not affect orders already confirmed.
5.3 Payment Methods
We accept payments through the methods available on our Website, which may include credit/debit cards, PayPal, and Klarna installment plans. Payment is due at the time of purchase.
5.4 Invoicing
Invoices will be issued in compliance with Spanish tax regulations (Ley 37/1992 del IVA and Real Decreto 1619/2012 de facturación).
6. Delivery and Acceptance
6.1 Delivery Timeline
AI Workforce delivery begins once we receive the completed onboarding form. The standard delivery period is 5 business days. We will notify the Client via email when the Agent Environment is ready.
6.2 Acceptance
The Client has 14 calendar days from delivery to review the Agent Environment and report any issues. If no issues are reported within this period, the delivery is deemed accepted.
6.3 Delays
If we are unable to deliver within the stated timeframe, we will notify the Client and provide a revised delivery date. Delays caused by incomplete or delayed Client information (e.g., onboarding form, platform credentials) do not constitute a breach by Accessial.
7. Right of Withdrawal
7.1 Digital Services
In accordance with Article 103(m) of Real Decreto Legislativo 1/2007, the right of withdrawal may not apply to digital content and services that have begun to be performed with the Client’s prior express consent and acknowledgment that the right of withdrawal is thereby lost.
By submitting the onboarding form and expressly consenting to the commencement of service delivery, the Client acknowledges that the right of withdrawal will be lost once the configuration work begins.
7.2 Before Commencement
If the Client has not yet submitted the onboarding form or expressly requests cancellation before service delivery begins, a full refund will be issued within 14 calendar days.
7.3 After Delivery
No refunds are available after delivery and acceptance of the Agent Environment, as the service involves the transfer of technical knowledge, configurations, and credentials that cannot be “returned.”
8. Client Responsibilities
The Client agrees to:
- Provide accurate and complete information in the onboarding form.
- Create and maintain their own accounts with Third-Party Services (Cloudflare, OpenRouter, Telegram) and provide necessary editor-level access for agent configuration.
- Review and approve all content and actions produced by the AI agents before publication. AI agents create deliverables for the Client’s review; the Client is solely responsible for approving and publishing any content.
- Maintain the security of their account credentials and promptly notify Accessial of any security breach.
- Comply with all applicable laws and regulations in their use of the AI agents, including but not limited to data protection, intellectual property, advertising standards, and platform-specific terms of service.
- Not use the AI Workforce for any unlawful, fraudulent, defamatory, or harmful purpose.
- Not use the AI agents to generate content that infringes third-party intellectual property rights, violates privacy rights, or constitutes spam.
9. Intellectual Property
9.1 Client Content
The Client retains all rights to their own content, business information, and data provided during onboarding and ongoing use.
9.2 AI-Generated Content
Content generated by the AI agents within the Client’s Agent Environment belongs to the Client. Accessial makes no claim to ownership of AI-generated deliverables.
9.3 Accessial Materials
Accessial retains all intellectual property rights in its methodologies, configurations, templates, documentation, and proprietary skills used in setting up the Agent Environment. The Client receives a perpetual, non-exclusive license to use these materials within their own Agent Environment.
9.4 Open-Source Components
The AI Workforce is built using open-source software (including OpenClaw). Such components remain subject to their respective open-source licenses.
10. Third-Party Services
10.1 Dependency on Third Parties
The AI Workforce service relies on Third-Party Services including, but not limited to:
- Cloudflare (cloud infrastructure and hosting)
- OpenRouter (AI model API routing and billing)
- OpenClaw (open-source AI agent framework)
- Telegram (messaging interface)
- AI Model Providers (Anthropic, Google, OpenAI, and others accessed via OpenRouter)
The Client acknowledges that:
- These services are governed by their own terms of service and privacy policies.
- Accessial does not control and is not responsible for the availability, performance, pricing, or policies of Third-Party Services.
- Changes to Third-Party Services (including pricing changes, API modifications, service discontinuation, or policy updates) may affect the functionality of the AI Workforce.
- Running Costs are paid directly by the Client to the respective Third-Party Service providers.
10.2 Account Ownership
All accounts created with Third-Party Services for the AI Workforce belong to the Client. Accessial will configure these accounts but does not retain admin access after delivery, unless explicitly agreed for ongoing support (Professional tier).
11. AI-Specific Terms
11.1 Nature of AI Output
The Client acknowledges and understands that:
- AI agents produce output using artificial intelligence models that may generate inaccurate, incomplete, biased, or inappropriate content.
- AI-generated content should always be reviewed by a human before publication or use in any business context.
- Accessial does not guarantee the accuracy, quality, originality, or suitability of any AI-generated content.
- The Client is solely responsible for all content published or distributed using the AI agents, regardless of whether it was generated by AI.
11.2 Security and Prompt Injection
While Accessial implements safeguards against prompt injection and other AI-specific security threats, no security measure is infallible. The Client acknowledges that:
- AI agents may be vulnerable to adversarial inputs from external sources (emails, websites, documents).
- Accessial provides best-effort security hardening but cannot guarantee absolute protection against all AI security threats.
- The editor-only access model is designed to limit the potential impact of security incidents, but the Client should monitor agent activity.
11.3 EU AI Act Compliance
Accessial is committed to compliance with Regulation (EU) 2024/1689 (the EU AI Act) as it becomes applicable. The AI Workforce is designed to operate as a general-purpose AI application. The Client is responsible for ensuring that their specific use of AI agents complies with applicable AI regulations in their jurisdiction, including any sector-specific requirements.
11.4 No Autonomous Decision-Making
The AI Workforce is configured so that agents create deliverables for human review and approval. Agents do not make autonomous decisions that produce legal effects or significantly affect individuals, in accordance with Article 22 of the GDPR.
12. Limitation of Liability
12.1 General
To the maximum extent permitted by Spanish law (Articles 1101–1107 of the Código Civil):
- Accessial shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the use or inability to use our services.
- Accessial’s total aggregate liability for any claims arising from a service shall not exceed the amount paid by the Client for that specific service.
- Accessial shall not be liable for any losses arising from AI-generated content, including but not limited to errors, inaccuracies, intellectual property infringements, or reputational damage.
- Accessial shall not be liable for any losses arising from Third-Party Service failures, outages, pricing changes, or policy modifications.
12.2 Force Majeure
Accessial shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to natural disasters, government actions, network failures, Third-Party Service disruptions, or cyberattacks.
13. Support and Maintenance
13.1 Starter and Growth Tiers
Support is limited to the delivery period (Starter) or 30 days post-launch (Growth). After this period, the Client manages the Agent Environment independently.
13.2 Professional Tier
For 12 months from delivery:
- Priority email support with 48-hour response time during business days.
- Critical security updates and patches.
- Up to 2 agent reconfigurations.
- Quarterly health checks and optimization recommendations.
Support does not include custom development, extensive modifications, or troubleshooting of Third-Party Services.
13.3 Renewal
The Professional support period does not auto-renew. Renewal terms will be communicated before the end of the support period.
14. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the service, including but not limited to business strategies, technical configurations, credentials, and customer data.
This obligation survives termination of the service relationship.
15. Termination
15.1 By the Client
The Client may discontinue use of the AI Workforce at any time by deactivating their agent configurations. No refund is due for services already delivered.
15.2 By Accessial
Accessial may suspend or terminate a Client’s access to support services if the Client:
- Breaches these Terms.
- Uses the services for unlawful purposes.
- Fails to pay for purchased services.
15.3 Effect of Termination
Upon termination, the Client retains full ownership and access to their Agent Environment and Third-Party Service accounts. Accessial’s obligations regarding ongoing support (if applicable) cease.
16. Modifications to Terms
Accessial reserves the right to modify these Terms at any time. Changes will be posted on the Website with the updated effective date. For material changes, we will make reasonable efforts to notify affected Clients via email. Continued use of our services after the effective date constitutes acceptance of the modified Terms.
17. Governing Law and Dispute Resolution
17.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the Kingdom of Spain.
17.2 Dispute Resolution
Any disputes arising from or related to these Terms shall first be attempted to be resolved amicably. If no resolution is reached within 30 calendar days, disputes shall be submitted to the courts and tribunals of Madrid, Spain, unless the Client qualifies as a consumer under Spanish law, in which case the courts of the Client’s domicile shall apply.
17.3 Online Dispute Resolution
In compliance with Regulation (EU) 524/2013, we inform consumers that the European Commission provides an Online Dispute Resolution (ODR) platform available at: https://ec.europa.eu/consumers/odr/
18. Miscellaneous
18.1 Entire Agreement
These Terms, together with the Privacy Policy and Legal Notice, constitute the entire agreement between the parties regarding the subject matter herein.
18.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full effect.
18.3 No Waiver
Failure by Accessial to enforce any right or provision shall not constitute a waiver of that right or provision.
18.4 Assignment
The Client may not assign their rights or obligations under these Terms without Accessial’s prior written consent. Accessial may assign its rights and obligations to a successor entity.
